In these Terms of Business (“Terms”):
The Company agrees to provide the Services as described in the accepted quotation or written agreement. Any changes to the project scope, features, or specifications must be agreed in writing and may result in additional costs or time extensions. The Company designs and implements websites only; the Client is responsible for purchasing and managing their own hosting and domain name, unless agreed otherwise. The Company is not responsible for delays or issues caused by third-party hosting providers or domain registrars.
The Client must supply all relevant materials (text, images, logos, etc.) in a timely manner. Delays in providing required materials or feedback may postpone project completion. The Client warrants that all materials supplied are owned by them or properly licensed and do not infringe third-party rights.
All projects are quoted individually. Payment structure depends on project size and will be agreed before work begins. Unless otherwise agreed, invoices are payable within 14 days from the date of issue. Deposits or stage payments may be required before work commences. Late payments may be subject to statutory interest and recovery costs under the UK Late Payment of Commercial Debts (Interest) Act 1998. If a project is cancelled by the Client before completion, the Client agrees to pay for all work completed up to the cancellation date, calculated proportionally to the project progress.
Upon full payment of all fees, ownership of the completed website design, content, and code will be transferred to the Client. The Company retains ownership of any general tools, frameworks, or libraries used to develop the site. The Company reserves the right to display completed projects in its portfolio and marketing materials.
Upon project completion, the Client will have an opportunity to review the work. The Client is entitled to up to three (3) rounds of revisions after delivery, covering reasonable changes and corrections. Any additional changes beyond this may be charged at the Company’s standard hourly rate.
The Company provides three (3) months of free maintenance and support following the project launch. After this period, maintenance or update services may be offered under a separate subscription or support agreement. The warranty does not cover:
The Company will not be liable for any indirect, consequential, or financial losses, including loss of business, revenue, or data. Total liability of the Company shall not exceed the total amount paid by the Client for the specific project. Nothing in these Terms shall limit liability for death or personal injury caused by negligence.
Either party may terminate the Agreement if the other materially breaches these Terms and fails to remedy within 14 days of written notice. Upon termination, the Client will pay for all work completed to date and any non-refundable expenses incurred. The Company reserves the right to suspend or remove the Client’s website from its development environment in the event of non-payment.
Both parties agree to keep confidential any non-public information obtained during the course of the project. This obligation survives termination of the Agreement.
Badger Designer Ltd’s website may use cookies to enhance user experience, analyse website traffic, and improve marketing performance. The website may implement Google Analytics and Facebook Pixel to collect anonymised visitor data for analytical and advertising purposes. The Company will not be held responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, pandemics, power failures, or government actions.
These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of England and Wales, and subject to the exclusive jurisdiction of the English courts.
These Terms, together with any written quotations or project agreements, constitute the entire agreement between the Client and the Company and supersede all prior discussions or understandings.
